Shuffle.com (the “Website”) is owned and operated by Natural Nine B.V. (“Shuffle”, “we” or “us”), a company with its registered office located at 10 Korporaalweg, Willemstad, Curaçao. Shuffle is licensed by the Curaçao Gaming Control Board to offer games of chance under licence number OGL/2024/1337/0628.

2. General

2.1. These terms (“Affiliate Terms”) govern your participation in Shuffle’s programme for affiliates (the “Affiliate Programme”). They constitute a legally binding agreement between you and us and you should read them in their entirety before you participate in the Affiliate Programme. By participating in the Affiliate Programme, you acknowledge that you have read, understand, and agree to be bound by these Affiliate Terms and the Shuffle Terms of Service (as may be amended from time to time). In the event of any conflict between these Affiliate Terms and the Shuffle Terms of Service, these Affiliate Terms shall prevail to the extent of such conflict as it relates to your participation in the Affiliate Programme.

2.2. We may make amendments to these Affiliate Terms at any time. Modifications may include, for example, changes in the scope of available commission or earnings. We will take appropriate steps to bring any material changes to your attention (e.g. by notification at login), but it is your responsibility to ensure that you agree with any changes made to these Affiliate Terms, and you should continue to check for any updates on a regular basis. By continuing to participate in the Affiliate Programme after any such amendment to the Affiliate Terms you will be deemed to have accepted and agreed to be bound by such amendments, updates and/or modifications. If any modification is unacceptable to you, your only recourse is to cease participating in the Affiliate Programme.

2.3. These Affiliate Terms may be published in several languages. In the case of any discrepancy between the English language version of these Affiliate Terms and versions published in any other languages, the English language version shall prevail.

3. Conditions for participation in the Affiliate Programme

3.1. Affiliates are required to complete a level of KYC (Know Your Customer) verification before participation in the Affiliate Programme. The specific level will be determined by Shuffle at its sole discretion based on applicable regulatory requirements and internal risk assessment policies. Shuffle reserves the right to request additional KYC documentation at any time during the term of this agreement.

3.2. Section 7 of the Shuffle Terms of Service (“Prohibited uses”) applies to your participation in the Affiliate Programme. In particular, you must not participate in the Affiliate Programme for any form of illicit activity, you must not be subject to sanctions imposed by the United Nations, European Union, United States, or Curaçao, and you must not be located or resident in a Prohibited Jurisdiction (as defined in the Shuffle Terms of Service). You represent and warrant that you will immediately notify Shuffle if you become subject to any such sanctions or relocate to a Prohibited Jurisdiction.

4. Commissions and earnings

4.1. Affiliates will receive a commission based on amounts wagered by each successful referral they make to Shuffle, subject to the terms and conditions set forth in this Section 4 and as further specified in the Affiliate Programme dashboard or as otherwise communicated to you in writing by Shuffle.

4.2. VIP Affiliates may be awarded increased rates of commission-based earnings or other bespoke rewards for making successful referrals, subject to Shuffle’s absolute discretion.

4.3. The commission payout structure and calculation of commissions and earnings will be determined by Shuffle in its sole and absolute discretion, may vary from product to product and may be modified from time to time.

4.5. Subject to 4.7 below, all commission payments will be paid to Affiliates’ Shuffle account in the currency or currencies in which their referrals gamble on the Website. Commissions are subject to verification and may be adjusted for fraudulent activity or other violations of these Affiliate Terms prior to payment. Shuffle reserves the right to delay payment pending completion of fraud and compliance checks.

4.6. Shuffle reserves the right at its sole and absolute discretion to exclude any user from the Affiliate Programme at any time, with or without cause, and with or without prior notice. Upon exclusion, any unpaid commissions earned in accordance with these Affiliate Terms prior to the date of exclusion shall remain payable, unless such exclusion is due to a breach of these Affiliate Terms by the Affiliate.

4.7. Shuffle reserves the right to:

(i) remove or change any commission and earnings percentages that may be awarded to an Affiliate;

(ii) modify the methods of calculating such percentages;

(iii) modify the currency or currencies in which any commission or earnings are paid to an Affiliate;

4.8. Shuffle reserves the right, in its sole and absolute discretion, to refuse, suspend, restrict, or permanently close any referred player accounts at any time, with or without cause and with or without prior notice to the Affiliate. No entitlement to commissions, earnings, or other rewards shall arise from such accounts from the date of refusal, suspension, restriction, or closure. If a referred player is reasonably determined by Shuffle to be fraudulent, bonus-abusive, self-excluded, underage, located in a Prohibited Jurisdiction, or otherwise invalid or in breach of the Shuffle Terms of Service, Shuffle may:

(i) withhold, adjust, reduce, or cancel any associated commissions (including previously earned but unpaid commissions);

(ii) require repayment of commissions already paid in connection with such accounts; and

(iii) exclude such accounts from future commission calculations.

You acknowledge that Shuffle's determination regarding the validity or status of referred players is final and binding. Shuffle shall have no obligation to provide detailed explanations for account actions, except as required by applicable law or regulation.

7. Confidentiality and privacy

7.1. Affiliates must not share or distribute Shuffle marketing materials to third parties (other than displaying such materials in accordance with these Affiliate Terms for promotional purposes) unless prior written consent is given by Shuffle. For clarity, you may use Affiliate Marketing Materials on your own websites, social media accounts, and other promotional channels in accordance with Section 8, but you may not provide such materials to other affiliates or third parties for their use.

7.2. Affiliates must not disclose any Confidential Information about Shuffle or its affiliates. 7.4. Nothing in this Section 7 shall prevent disclosure required by law or court order, provided that the Affiliate gives Shuffle prompt written notice of such requirement to allow Shuffle to seek protective measures.

8. Use of Affiliate Marketing Materials

8.1. Shuffle may make available through the Website or otherwise certain marketing materials such as banner advertisements, images, logos, videos and textual content for use by Affiliates (“Affiliate Marketing Materials”).

8.2. Shuffle hereby grants you a non-exclusive, personal, non-transferable, revocable, royalty-free, non-sublicensable licence to use Affiliate Marketing Materials solely to facilitate your valid participation in the Affiliate Programme in accordance with these Affiliate Terms and solely in the territories where you are authorized to promote Shuffle, as specified in writing by Shuffle or as set forth in any custom terms agreement. This licence is conditional upon your continued compliance with these Affiliate Terms and shall automatically terminate upon termination of your participation in the Affiliate Programme or any breach of these Affiliate Terms.

8.3. You agree that if you choose to make use of the Affiliate Marketing Materials, you will use them as provided and in their original form, and that you will not modify, alter, amend, resize, or adapt any Affiliate Marketing Materials without Shuffle's prior written consent. You acknowledge that any unauthorised modification of the Affiliate Marketing Materials will constitute a material breach of these Affiliate Terms and may result in immediate termination of your participation in the Affiliate Programme and liability for any damages suffered by Shuffle as a result of such modification.

8.4. You agree that if you become aware of any unauthorised modification of the Affiliate Marketing Materials, whether deliberate or inadvertent, and whether as a result of your own actions or the actions of a third party, you will immediately notify Shuffle and take all reasonable steps to rectify such modification.

9. Intellectual property

9.1. Nothing in these Affiliate Terms is intended to constitute a transfer of any of Shuffle's intellectual property, which remains exclusively the property of Shuffle and its licensors.

9.2. You acknowledge that "Shuffle," "Shuffle.com," and all related logos, trademarks, service marks, trade names, and other brand identifiers (collectively, "Shuffle Marks") are the exclusive property of Shuffle and/or its licensors. You acquire no rights in the Shuffle Marks except for the limited licence granted in Section 8.2.

9.3. You agree not to register, attempt to register, or use any domain names, social media handles, business names, or other identifiers that incorporate or are confusingly similar to the Shuffle Marks without Shuffle's prior written consent.

10. Brand Keyword Bidding Prohibition

10.1. Affiliates are strictly prohibited from bidding on, purchasing, or using any keywords or keyword phrases that include, or are confusingly similar to, “Shuffle”, “Shuffle.com”, or any related brand terms or misspellings, in any form of paid advertising or promotional activity, unless prior written permission has been granted by Shuffle.

10.2. Any breach of Section 10.1, or any activity carried out without such permission, will be considered a material violation of these Affiliate Terms. Shuffle reserves the right to take appropriate and immediate action to address such a violation, including: (i) immediately terminating the Affiliate's participation in the Affiliate Programme; (ii) withholding or reclaiming any unpaid commissions, including commissions related to referrals generated through prohibited keyword bidding; (iii) requiring the Affiliate to pay liquidated damages equal to three times the commissions earned through prohibited keyword bidding activities, which the parties agree represents a reasonable estimate of Shuffle's actual damages given the difficulty of calculating precise harm from brand bidding violations; and/or (iv) pursuing any other legal remedies available. The Affiliate acknowledges that brand bidding violations cause immediate and irreparable harm to Shuffle's brand value and customer acquisition costs.

11. Breach

11.1. Without prejudice to any other rights, if you breach in whole or in part any provision contained herein, we reserve the right to take such action as we see fit, including withholding or deducting commissions, earnings and/or other rewards, terminating our relationship with you under these Affiliate Terms or any other agreement and/or taking legal action against you.

You hereby agree to indemnify, defend and hold harmless Shuffle and its shareholders, directors, employees and agents (the “Indemnified Parties”) from and against any reasonable costs, expenses, losses, damages, claims, demands and liabilities (including reasonable legal fees and other reasonable charges) actually incurred or suffered by the Indemnified Parties arising directly from:

 (i) any breach by you of any provision of these Affiliate Terms;

 (ii) any violation by you of applicable law or the rights of any third party; or

 (iii) your participation in the Affiliate Programme.

This indemnity shall not apply to the extent that any such costs, expenses, losses, damages, claims, demands or liabilities result from the gross negligence, wilful misconduct or fraud of any Indemnified Party or would otherwise impose an excessive or unreasonable financial burden contrary to the principles of reasonableness and fairness under Curaçao law.

12. Limitation of liability

12.1. Under no circumstances shall we be liable for any special, incidental, indirect or consequential damages (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss).

12.2. In no event shall we be liable for any claims, proceedings, liabilities, costs, or losses (collectively, “Losses”) arising out of or in connection with Affiliates’ breaches of these Affiliate Terms or any use or misuse of the Affiliate Programme (1) regardless of the form of action, whether based on contract, tort, strict liability, statute or otherwise, (2) even in the case of our negligence (excluding gross negligence), and (3) even if we have been advised of the possibility of such Losses, except to the extent that such Losses result directly from our gross negligence, wilful default or fraud.

12.3. The limitations of liability in these Affiliate Terms shall apply to the fullest extent permitted under applicable laws.

13. Misrepresentation

Affiliates must not misrepresent or imply, through actions or appearance, to be a representative or employee of Shuffle. This includes, but is not limited to, any activity on online forums, websites and domain names, social media, online content, paid search advertising, or any other forms of user acquisition.

14. Custom terms

14.1. Shuffle reserves the right to enter into custom terms for individual Affiliates, including modified commission structures, payment terms, or other provisions that differ from these standard Affiliate Terms. Any such custom terms shall be set forth in a separate written agreement signed by both parties.

14.2. Any custom terms entered into pursuant to Section 14.1 must remain strictly confidential and may not be disclosed to any third party without Shuffle's prior written consent. You acknowledge that disclosure of custom terms could harm Shuffle's competitive position and relationships with other affiliates. Any breach of this confidentiality obligation shall constitute a material breach of these Affiliate Terms and may result in immediate termination, forfeiture of unpaid commissions, and liability for damages.

15. Customer data

You acknowledge that you do not have or obtain ownership over any customer data provided to Shuffle through your affiliate activities.

16. Governing law and jurisdiction

16.1. These Affiliate Terms shall be governed by, and construed in accordance with, the laws of Curaçao.

16.2. The courts of Curaçao have exclusive jurisdiction to settle any dispute arising from or connected with these Affiliate Terms (including a dispute relating to their existence, validity or termination, or the consequences of their nullity, or any non-contractual obligation arising out of or in connection with them) and you irrevocably waive any right that you may otherwise have had to object to an action being brought in those courts, or to claim that the action has been brought in an inconvenient forum, or that those courts do not have jurisdiction.

16.3. You must bring any and all legal claims under these Affiliate Terms in your individual capacity and not as a claimant in or member of any purported class action, collective action, private attorney general action, or other representative proceeding. You agree to waive the right to demand a trial by jury, where applicable.

17. Severability

If any provision of these Affiliate Terms is or becomes illegal, invalid or unenforceable in any jurisdiction, that shall not affect the validity or enforceability in that jurisdiction of any other provision of these Affiliate Terms or the validity or enforceability in other jurisdictions of that or any other provision.

Neither party may assign or transfer any of its rights or obligations under these Affiliate Terms without the prior written consent of the other party, such consent not to be unreasonably withheld or delayed. However, Natural Nine B.V. may assign or transfer its rights and obligations under these Affiliate Terms to any affiliate, subsidiary, parent company, successor, or acquirer without your consent.

19. Miscellaneous

19.1. No waiver by us of any breach of any provision of these Affiliate Terms shall in any way be construed as a waiver of any subsequent breach of such provision or of any breach of any other provision of these Affiliate Terms.

19.2. Nothing in these Affiliate Terms shall create or confer any rights or other benefits in favour of any third parties.

19.3. Nothing in these Affiliate Terms shall create or be deemed to create a partnership, agency, trust arrangement, fiduciary relationship or joint venture between you and us.

19.4. These Affiliate Terms, together with any custom terms entered into pursuant to Section 14 and the documents incorporated by reference in Section 1.2, constitute the entire understanding and agreement between you and us regarding the Affiliate Programme and supersede any and all prior or contemporaneous agreements, understandings, arrangements, representations, or communications, whether written or oral, between you and us relating to the subject matter hereof. No amendment, modification, or waiver of any provision of these Affiliate Terms shall be effective unless in writing and signed by both parties.
